Terms of Use – Donor Database 2026
Effective Date: February 11, 2026
These Terms of Use (the “Terms”) govern access to and use of the Egg Donor & Surrogate Solutions (“EDSS,” “we,” “us,” or “our”) donor database, websites, and related services (collectively, the “Database”). These Terms are incorporated by reference into, and should be read together with, our Privacy Policy effective February 11, 2026.
By accessing or using the Database, you acknowledge that you have read, understood, and agree to be bound by these Terms, as updated from time to time.
A. Purpose and Privacy Commitment
EDSS operates the Database to facilitate ethical, secure, and professional matching between intended parents and egg donors under industry best practices, including ASRM and SEEDS guidance. Privacy and confidentiality of donors, intended parents, and all participants are fundamental principles of our program.
Access to the Database is provided solely for legitimate, private matching purposes and not for public, commercial, or independent solicitation.
B. Eligibility and Access Restrictions
Access to the Database is strictly limited to: –
Current EDSS clients in good standing
– Individuals expressly authorized by EDSS
By accessing the Database, you represent and warrant that:
– You are accessing the Database solely for your personal use in connection with services provided by EDSS –
All information you provide to EDSS is accurate, current, and truthful
– You are at least 18 years of age
EDSS reserves the right to deny, suspend, or revoke access at any time.
C. Account Security and Credentials
You agree that:
– You will not share your login credentials with any third party
– You will not permit any other person to access the Database using your account
– You will immediately notify EDSS of any unauthorized access or suspected security breach
You are solely responsible for all activity conducted under your account.
D. Permitted and Prohibited Uses
Permitted Use
You may view donor profiles solely for the purpose of working with EDSS to select a donor through EDSS’s matching process.
Prohibited Conduct
You expressly agree that you will not:
– Contact, attempt to contact, or communicate with any donor directly without EDSS’s prior written permission and involvement
– Attempt to identify any donor, including through internet searches, social media, reverse-image searches, in-person contact, or any other means
– Copy, download, photograph, record, store, distribute, transmit, or reproduce any donor profile, image, or database content
– Use any information obtained from the Database outside of EDSS’s authorized matching process
– Harass, intimidate, abuse, or send unwanted or inappropriate communications to any individual
– Post, upload, or transmit content that violates applicable law or the rights of others
– Circumvent, probe, or test the security of the Database
Any attempt to identify or independently contact a donor is a material breach of these Terms.
E. Intellectual Property and Copyright
All rights, including copyright, database rights, trademarks, and other intellectual property rights, in the Database and its contents are owned by or licensed to EDSS.
You are granted a limited, revocable, non-transferable license to access the Database for authorized purposes only. No ownership rights are transferred to you.
Any unauthorized copying, use, or distribution of Database content is strictly prohibited.
F. Communications Consent
By using the Database, you consent to being contacted by EDSS team members via email, phone, or text message (standard messaging rates may apply) for purposes related to donor selection, matching, and case coordination.
You may request account closure or cessation of communications at any time by emailing Info@CreateAHappyFamily.com. Certain communications may continue as required by law or contractual obligation.
G. Accuracy of Information / Disclaimer
You acknowledge and agree that:
– Donor information is provided directly by donors
– EDSS does not independently verify all donor-provided information
– EDSS makes no representations or warranties regarding the accuracy, completeness, or truthfulness of donor profiles
The Database is provided on an “AS IS” and “AS AVAILABLE” basis.
H. Limitation of Liability
To the maximum extent permitted by law, EDSS shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your use of, or inability to use, the Database.
You acknowledge that these limitations are a fundamental basis of the agreement and that access would not be provided without them.
I. Indemnification
You agree to indemnify, defend, and hold harmless EDSS, its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from:
– Your use of the Database –
Your violation of these Terms
– Your misuse of donor information
– Any attempt to identify or contact a donor outside EDSS’s process
J. Changes to the Database and Terms
EDSS may:
– Modify, suspend, or discontinue the Database at any time
– Update these Terms at its discretion
Changes are effective immediately upon posting. Continued use of the Database constitutes acceptance of any revised Terms.
K. Termination
EDSS may suspend or terminate your access immediately, with or without notice, if you:
– Violate these Terms
– Create legal, ethical, or security risk
– Engage in conduct inconsistent with industry standards
Upon termination, your right to access the Database ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
L. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
All claims arising out of or related to these Terms shall be brought exclusively in state or federal courts located in Collin County, Texas. You consent to personal jurisdiction and venue in those courts.
Arbitration Option for Small Claims
For claims seeking less than $3,000.00 (excluding injunctive or equitable relief), either party may elect binding arbitration through a mutually agreed-upon alternative dispute resolution provider. Arbitration may be conducted remotely and based on written submissions. Any arbitral award shall be final and enforceable in a court of competent jurisdiction.
EDSS reserves the right to seek injunctive or equitable relief in any jurisdiction to protect donor confidentiality, database security, or intellectual property.
